What Is a Closed SME IPO?

A closed SME IPO refers to a small and medium enterprise initial public offering whose subscription window has ended. Once the IPO subscription period closes, investors can no longer submit new applications for that issue.

Companies launch SME IPOs to raise capital from the public through the SME platforms of the National Stock Exchange of India and the BSE Limited. These IPOs are usually open for subscription for three to five working days, after which they are categorized as recently closed SME IPOs.

Investors often track recently closed SME IPOs to review subscription demand, check allotment results, and monitor potential listing performance.

What to Check in a Closed SME IPO?

Subscription Status

The subscription status shows how many times the IPO was subscribed across different investor categories, such as individual investors, non-institutional investors (NIIs), and qualified institutional buyers (QIBs). A recently closed SME IPO with strong oversubscription reflects a higher number of applications relative to shares offered. Investors usually track the final subscription figures published by the exchanges (NSE & BSE).

What Happens After an IPO Subscription Closes?

Once the subscription period ends for a closed SME IPO, the issue enters the post-subscription stage, which includes allotment finalisation, fund settlement, and listing.

As per the framework introduced by the Securities and Exchange Board of India, SME IPOs now follow a strict T+3 timeline, meaning the entire process from closing to listing typically takes three working days.

After an SME IPO closes, the registrar determines the basis of allotment depending on demand and the number of shares available. The latest regulations have aligned the SME IPO allotment process with the mainboard IPO system.

If the IPO Is Oversubscribed

When a recently closed SME IPO receives more applications than available shares, allotment is done through a lottery-based system.

1. For Individual Investors

  • Allotment is determined through a lottery system.
  • The minimum allotment is usually 2 lots.
  • Investors applying for more lots do not have a higher probability of allotment.
  • For example, an investor applying for 5 lots may still receive only 2 lots, which is the minimum allotment.

2. For NIIs (HNIs)

  • The earlier proportionate allotment method has been removed.
  • Now, they follow a Draw of Lots similar to the individual category.
  • This change prevents large investors from guaranteeing an allotment simply by placing large bids.
