Dividend and Annual General Meeting (?AGM): To recommend the shareholders, final dividend of INR. 01 per equity share of INR. 10/- each (10%), to the members, for the financial year ended March 31, 2025. To recommend the shareholders, appointment of M/s. Nilesh Shah & Associates, Peer Reviewed Practicing Company Secretaries, as a Secretarial Auditor of The Company, for a Period of 5 Financial Years Commencing from F.Y. 2025-2026 (i.e., April 01, 2025) till F.Y. 2029-2030 (i.e., March 31, 2030). Re-Appointment of Statutory Auditors: 6. The re-appointment of M/s CNK & Associates LLP (ICAI Firm Registration (No.101961 'W/W100036) as Statutory Auditors of the Company, for a second term of five consecutive years, starting from the conclusion of the 105% AGM till the conclusion of the 110% AGM of the Company to be held in the calendar year 2030, subject to approval of the shareholders at the ensuing AGM. Re-appointment of Independent Director: 7. Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company has approved the re-appointment of Mr. Joseph Andrew Jude Pereira (DIN:00130239) as a Non-Executive Independent Director of the company for a second term of 5 Years with effect from October 26, 2025, subject to approval of shareholders.
