17-JUN-2025- Inter alia, approved:- The Board of Directors has recommended a Final Dividend of Rs.34/- per share of the face value Rs. 2/- each for the financial year ended March 31, 2025 (previous year final dividend Rs. 28/- per share). The Company will arrange to pay the proposed Final Dividend after approval of the shareholders in the ensuing Annual General Meeting. 2. . 80th Annual General Meeting (AGM) of the Company to be convened on Tuesday, 17th June 2025 at 3.00 p.m. (IST) through Video Conferencing/Other Audio-Visual Means, in accordance with the circulars issued by the Ministry of Corporate Affairs ("MCA circulars"). 3. Retirement of Mr. Sivaram Nair A, Company Secretary & Compliance Officer of the Company (Key Managerial Personnel). Mr. Sivaram Nair A is superannuating from the services of the Company w.e.f. the close of business hours on May 9, 2025. The Board placed on record its sincere gratitude for the exceptional contributions made by Mr. Sivaram Nair A throughout his tenure as the Company Secretary & Compliance Officer of the Company and conveyed its best wishes to him 4. Appointment of M/s. S. N. Ananthasubramanian & Co., Practicing Company Secretaries, Mumbai (Firm registration No. P1991 MH040400), as the Secretarial Auditors of the Company for a term of (five) consecutive years commencing from FY 2025-26 to FY 2029-30, subject to approval of the shareholders of the Company at the 80th AGM of the Company.
