10-MAY-2025- Inter alia approved the following: 1) Recommendation of final dividend of Rs. 33.50 per share (Rupees Thirty-Three and Fifty Paise only), i.e., (1,675%) on 21,19,08,375 Equity Shares of face value of Rs.2/- each fully paid up for the financial year ended December 31, 2024, subject to shareholders' approval at the ensuing Annual General Meeting. 2) Notice convening the 75th Annual General Meeting of the Company which will be held on Saturday, May 10, 2025 at 11.00 A.M. (IST) at the registered office of the Company situated at Disha, Plot No. 5 & 6, 2nd Stage, Peenya Industrial Area IV, Peenya, Bengaluru - 560 058. 3) The Register of Members and Share Transfer Books of the Company will remain closed for the purpose of Annual General Meeting and payment of dividend from May 4, 2025 to May 10, 2025 (both days inclusive) that may be declared at the 75th Annual General Meeting of the Company. 4) The dividend, if declared at the 75th Annual General Meeting, will be paid/dispatched after May 10, 2025, to those Shareholders or their mandates whose names appear as Members in the Company/s Register of Members as holders of Equity Shares as at the end of the business hours on May 3, 2025. For shares held in electronic form, the dividend will be paid to those names who appear as Beneficial Owners as at the end of the business hours on May 3, 2025 as per details to be furnished by National Securities Depository Ltd. and Central Depository Services (India) Ltd.
