27-JUN-2025- Inter alia, approved:- 1. Recommendation of final dividend of Rs. 0.60/- per share (i.e. 30% on face value of Rs. 2/- each) for the financial year 2024-25 on Equity Shares of the Company subject to the approval of the shareholders in the ensuing Annual General Meeting (?AGM?). The final dividend will be paid within 30 days from the date of declaration and approval by the shareholders of the Company. 2. Upon the recommendation of the Nomination and Remuneration Committee, the Board of Directors, inter alia considered and approved, formulation of ?Swastika Investmart LimitedEmployee Stock Option Plan 2025? (?Swastika ESOP 2025?) in terms of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 for grant of not exceeding 3,10,000 (Three Lakhs Ten Thousand) Stock Options to Eligible Employees of the Company as may be determined by the Nomination and Remuneration Committee (may also designated as ?Compensation Committee?) in terms of the scheme, subject to approval of the shareholders and/ or such other regulatory/ statutory approvals as may be necessary. 5. Based on the recommendation of the Audit Committee, approval of appointment of M/s. L. N. Joshi & Company, Practicing Company Secretaries as Secretarial Auditor of the Company for a period of five consecutive years commencing from FY 2025-2026 till FY 2029-2030 and fix their remuneration, subject to approval of the shareholders of the Company at the ensuing 33rd Annual General Meeting. 6. Approval of Board's Report on the operation of the Company with required annexure?s and Corporate Governance Report & Management Discussion and Analysis Report for the year ended on 31st March, 2025. 7.
