21-JUL-2025- Inter alia, approved: 1. In order to conserve the resources and to undertake the growth opportunities through capex, the Board has amended the Dividend Distribution Policy to keep dividend pay-out ratio from 8% to 12% of profit after tax (PAT). 2. Recommended Dividend of Rs.0.50 (fifty paisa) per equity share of Rs. 2/- each i.e. 25% on the paid-up equity capital for the financial year ended March 31, 2025. Dividend will be paid on or after July 21, 2025, if approved by the members in the ensuing Annual General Meeting. 3. Revenue Budget of the Company for the financial year 2025-26. 4. Capital Budget of approx. Rs. 17.15 Crs. for the financial year 2025-26. 5. Notice for 5th Annual General Meeting, scheduled to be held on Monday, July 21, 2025 through Video Conferencing (VC) or Other Audio-Visual Means (OAVM). 6. Appointment of Mr. Marshal Sonavane as Chief Executive Officer (CEO) of the Company. 7. Appointment of Mr. M. Parasuraman as Chief Financial Officer (CFO) of the Company. 8. Recommendation for appointment of Chandrasekaran Associates, Company Secretaries, Delhi as Secretarial Auditor of the Company for a period of five consecutive years commencing from FY 2025-26 to FY 2029-30, subject to shareholders approval at ensuing 5th AGM of the Company.
