10-SEP-2025- Inter alia, approved:- 1. Recommended Final Dividend of 25% (Rs. 2.50/- per equity share of Rs. 10/- each) for the Financial Year ended March 31, 2025, subject to the approval of the Shareholders at the ensuing Annual General Meeting of the Company. The said dividend, if declared at the ensuing Annual General Meeting (AGM), will be paid to the shareholders within 30 days of AGM of the Company. 2. Recommended the appointment of Shri Satish Kumar Jain, Proprietor of SKJ & Associates, Practicing Company Secretaries (FCS 6398/ PCS 6632) as Secretarial Auditors of the Company to conduct the Secretarial Audit of the Company for a term of five consecutive years from FY 2025-26 till FY 2029-30 subject to approval of members at the ensuing AGM of the Company. 3. Re-appointed Shri S. S. Dongare, Practising Cost & Management Accountant (Membership No. 012521) as the Cost Auditor of the Company to conduct the Audit of Company s cost records for the financial year ended March 31, 2026. 5. Decided to hold, the 104th Annual General Meeting (AGM) of the Company on Wednesday, September 10, 2025, through Video Conferencing (VC) /Other Audio Visual Means (OAVM)
