14-JUL-2025- Bonus Issue Inter-alia, considered and approved the following items: 1. Issue of Bonus Shares in the proportion of 1:1 i.e. 1 (One) fully paid-up bonus equity share of Rs. 10/- (Rupees Ten only) each for every 1 (One) existing fully paid-up equity share of Rs. 10/- (Rupees Ten only) each held by the Members of the Company as on the Record Date, subject to approval of Members of the Company in ensuing General Meeting. 2. Increase in Authorize share capital of the company from 95,00,00,000/- (Rupees Ninety-Five Crore) to 1,58,00,00,000 /- (Rupees One Hundred and Fifty-Eight Crore) by altering the capital clause of Memorandum of Association of the company subject to approval of Members of the company in ensuing General Meeting. 3. Notice of the AGM along with 34th Annual Report and all the annexures, for the Financial Year 2024-2025. 4. Fixed the Venue [via video conferencing or other audio-visual means), day, date and time of the 34th Annual General Meeting to be held on Monday, 14th July, 2025 at 12:00pm. 5. The cut-off date to determine the entitlement of voting rights and the e-voting period.
