24-JUL-2025- Inter alia, approved:- 1. Dividend Recommended a final dividend of Rs. 8/- per equity share of Rs. 1/- each for the financial year 2024-25. 2. Re-appointment of Mr G V Prasad (DIN: 00057433), as a Whole-Time Director designated as Co-Chairman & Managing Director of the Company Based on the recommendation of Nomination, Governance and Compensation Committee, the Board of Directors of the Company has approved the re-appointment of Mr. G V Prasad (DIN: 00057433) as a Whole-Time Director designated as Co-Chairman and Managing Director for a period of 5 years with effect from January 30, 2026 to January 29, 2031, subject to approval of shareholders in the ensuing Annual General Meeting of the Company. 3. Annual General Meeting and Record Date Approved convening of 41st Annual General Meeting (AGM) of the members of the Company on Thursday, July 24, 2025. Pursuant to Regulation 42 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 the record date for purpose of determining the members eligible to receive the final dividend for the financial year ended March 31, 2025, has been fixed as July 10, 2025. 4. Appointment of Secretarial Auditors of the Company Pursuant to Regulations 30 of the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015 read with Schedule III Part A Para A, the Board of Directors approved appointment of M/s Makarand M Joshi & Co. (MMJC), Practicing Company Secretaries as the Secretarial Auditors of the Company for a term of five years starting April 1, 2025, subject to the approval of the shareholders at the ensuing Annual General meetin
