12-AUG-2025- Inter alia, approved:- i) Recommended Final Dividend of 170% i.e., Rs. 3.40/- per equity share of face value of Rs.2/- each for the Financial Year ended 31st March 2025, subject to approval of the shareholders at the ensuing 36th Annual General Meeting (AGM) of the Company, which if declared by the shareholders, the total dividend for the Financial Year 2024-25 would aggregate to 450% i.e., Rs. 9/- per equity share of face value of Rs.2/- each (including Interim Dividend @100% i.e., Rs. 2/- per equity share declared in October 2024 and 2nd Interim Dividend @180% i.e., Rs. 3.60/- per equity share in January 2025). Further, the said Final Dividend, if declared by the shareholders at the ensuing AGM shall be paid/despatched to all eligible shareholders within 30 days from the date of AGM. (ii) Approved convening of 36th AGM of the shareholders of the Company on Tuesday, 12th August 2025. (iii) Pursuant to Regulation 42 of Listing Regulations, fixed the record date as Tuesday, 5 th August, 2025, for the purpose of determining entitlement of the shareholders for the payment of final dividend for the financial year 2024-25, if declared by the shareholders at the 36th AGM. (iv) Based on the recommendation of the Nomination, Remuneration & Compensation Committee, recommended the re-appointment of Mr. Ajit S. Shriram (DIN: 00027918) as Joint Managing Director of the Company for a term of 5 consecutive years with effect from 2 nd May 2026 to the shareholders for their approval at the ensuing 36th AGM. (v) Based on the recommendation of the Nomination, Remuneration & Compensation Committee, recommended the continuation of Directorship of Mr. Vikramajit Sen (DIN: 00866743) as Non-Executive Independent Director pursuant to Regulation 17(1A) of Listing Regulations to the shareholders for their approval at the ensuing 36th AGM. (vi) Based on the recommendation of the Audit Committee, recommended the appointment of M/s. RMG & Associates, Practicing Company Secretaries (FRN: P2001DE016100), as Secretarial Auditors of the Company for a period of 5 (five) consecutive years from the conclusion of 36th AGM till the conclusion of the 41st AGM to be held in the year 2030, to the shareholders for their approval at the ensuing 36th AGM.
